Last Updated: October 11, 2026
These Terms of Use describe the conditions under which you may access and use the 12 Workspace website at 12workspace.com and, where applicable, the services and Workspace systems we provide. They are prepared for your review and should be read alongside our Privacy Policy and Cookie Policy.
Acceptance and Scope
By accessing or using the website or our services, you agree to these Terms. If you do not agree, please do not use the website or our services. These Terms apply to general website access. Separately contracted paid services are governed by the applicable written agreement described below.
Eligibility and Authorized Use
Our services are intended for businesses, organizations, and authorized representatives. You represent that you are authorized to act on behalf of any organization for which you request or configure services, and that you have the authority to accept these Terms on its behalf.
Description of Services
12 Workspace provides business technology and digital solutions, which may include website design, development, hosting, and maintenance; business management software and CRM systems; client, contact, and member management; scheduling and appointments; forms, surveys, and data collection; communication and marketing tools where enabled; automation and workflow tools; estimates, invoices, payments, and subscription management; client portals, membership systems, and learning environments; document management; reporting and analytics; AI-assisted features; and custom software, integrations, and specialized solutions.
Not every feature is included in every service or subscription. Services may be provided through our own technology, third-party platforms, integrated services, or custom-developed solutions.
Website Design and Development
Website design and development services involve specifications, deliverables, timelines, and acceptance criteria agreed in the applicable proposal or written agreement. Custom development may involve separate maintenance arrangements and intellectual property terms set out in that agreement.
Hosting and Maintenance
Website hosting and platform subscriptions may involve ongoing third-party costs and service conditions. Hosting and maintenance services depend on the availability and terms of underlying providers, which may change independently of 12 Workspace.
CRM and Workspace Services
CRM and Workspace services are configurable. The specific capabilities available to a client depend on the selected configuration and applicable agreement. Clients remain responsible for the accuracy and lawfulness of the information they manage within their Workspaces.
Client Portals and Membership Functionality
Client portals, membership systems, and learning environments may be configured around an organization's requirements. Access, roles, and permissions are determined by the client's configuration and applicable settings.
Custom Software Development and Integrations
Custom software development and integrations are governed by separate specifications, acceptance criteria, maintenance arrangements, and intellectual property terms set out in the applicable written agreement. Third-party integrations may change or become unavailable independently of 12 Workspace.
AI-Assisted Services and Automation
AI-assisted features and automation are optional and configuration dependent. AI-generated content and automated outputs may require review for accuracy and suitability. Clients remain responsible for the appropriate use of AI-assisted workflows within their organizations.
Third-Party Platforms and Integrations
Some services rely on third-party platforms, integrations, and external services. Their availability, functionality, and terms are controlled by their respective providers and may change without notice. We do not guarantee the continued availability of any third-party integration.
Accounts and Account Security
Where accounts are provided, you are responsible for maintaining the confidentiality of credentials and for all activity under your account. Please notify us promptly of any unauthorized access or suspected security issue.
Client Responsibilities
Clients remain responsible for the legality and accuracy of their own content and for the appropriate use of their configured systems, including any information collected through their Workspaces and any communications sent through enabled channels.
Acceptable Use
You agree to use the website and services lawfully and in a manner that does not interfere with their operation or the rights of others.
Prohibited Activities
Prohibited activities may include unauthorized access, attempts to disrupt services, misuse of credentials, sending unsolicited communications through enabled channels, submitting unlawful or infringing content, and any activity that violates applicable law or third-party rights.
Data, Content, and Intellectual Property
Ownership of intellectual property in our services, templates, and tools is governed by the applicable written agreement. Custom development may involve separate intellectual property terms. Unless otherwise agreed in writing, rights in custom-developed work are transferred only as expressly stated in the applicable agreement.
Client-Provided Materials and Rights
You represent that you have the rights to any materials you provide to us and that those materials do not infringe the rights of third parties. You grant us the rights necessary to use those materials to provide the requested services.
Third-Party Content and Services
Third-party content and services are subject to their providers' terms. We are not responsible for third-party content, availability, or continued functionality of third-party content or services.
Fees, Subscriptions, and Billing
Specific pricing, fees, and billing terms are set out in the applicable proposal, order form, subscription agreement, or other written agreement. Some services may involve third-party transaction fees.
Cancellations, Renewals, and Refunds
Cancellation, renewal, and refund terms are governed by the applicable written agreement. We do not adopt universal cancellation periods or refund policies in these Terms; specific terms should be confirmed in the relevant agreement.
Service Changes and Availability
We may add, modify, or discontinue features and services. Services depend on third-party providers and infrastructure and may be temporarily unavailable. We do not guarantee uninterrupted or error-free service.
Technical Support and Maintenance
Support and maintenance obligations, response times, and service-level commitments, if any, are set out in the applicable written agreement. We do not adopt universal uptime guarantees or service-level commitments in these Terms.
Electronic Communications
By using our services, you agree to receive certain communications electronically, such as account-related notices and responses to inquiries.
Privacy and Data Protection
Our handling of information is described in our Privacy Policy and Cookie Policy, which are incorporated here by reference.
Disclaimers
The website and services are provided on an as-is basis. To the extent permitted by law, we disclaim warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitations of Liability
To the extent permitted by law, our liability is limited to the extent set out in the applicable written agreement. These Terms do not create liability beyond what is expressly agreed. Any specific limitations should be confirmed in the relevant agreement.
Indemnification
Where legally appropriate, you agree to indemnify and hold 12 Workspace harmless from claims arising from your use of the services, your content, or your breach of these Terms, subject to the terms of the applicable written agreement.
Suspension and Termination
We may suspend or terminate access in cases of non-payment, breach of these Terms, or other conduct that violates applicable law or the applicable written agreement.
Changes to These Terms
We may update these Terms from time to time. The Last Updated date reflects the most recent revision. Continued use after changes constitutes acceptance of the updated Terms.
Governing Law and Dispute Resolution
Governing law, venue, and dispute resolution terms will be confirmed in the applicable written agreement. We do not adopt mandatory arbitration, a specific venue, or a governing-law jurisdiction in these Terms without confirmation.
